What are the details of the acquisition of Peak Resorts?

Vail Resorts has entered into a definitive merger agreement to acquire 100 percent of the outstanding stock of Peak Resorts, Inc. (NASDAQ: SKIS) at a purchase price of $11.00 per share, subject to certain conditions, including regulatory review and Peak Resorts’ shareholder approval.

What Resorts are included in the transaction with Peak Resorts? 

Through the acquisition of Peak Resorts, Vail Resorts will add 17 U.S. ski areas to its network of world-class resorts. Located near major metropolitan areas, including New York, Boston, Washington, D.C., Baltimore, Philadelphia, Cleveland, Columbus, St. Louis, Kansas City and Louisville, the resorts include:

·        Mount Snow in Vermont

·        Hunter Mountain in New York

·        Attitash Mountain Resort, Wildcat Mountain and Crotched Mountain in New Hampshire

·        Liberty Mountain Resort, Roundtop Mountain Resort, Whitetail Resort, Jack Frost and Big Boulder in Pennsylvania

·        Alpine Valley, Boston Mills, Brandywine and Mad River Mountain in Ohio

·        Hidden Valley and Snow Creek in Missouri

·        Paoli Peaks in Indiana

Following closure of the transaction, which passes will provide skiing and riding at Peak Resorts ski areas?
There are five Epic Products that will provide skiing and riding access to the 17 Peak Resorts ski areas:

  • Epic Pass™: The Epic Pass offers the following access and benefits:

o   Unlimited, unrestricted access to: Whistler Blackcomb, Vail, Beaver Creek, Breckenridge, Keystone, Crested Butte, Park City, Heavenly, Northstar, Kirkwood, Stowe, Okemo, Mount Sunapee, Stevens Pass, Afton Alps, Mt. Brighton, and Wilmot in North America. The Epic Pass also includes access to Perisher, Falls Creek, and Hotham in Australia

o   Additional unlimited, unrestricted access subject to certain conditions, including regulatory review at: Mount Snow, Attitash, Wildcat, Crotched, Hunter Mountain, Liberty, Roundtop, Whitetail, Jack Frost, Big Boulder, Alpine Valley, Boston Mills, Brandywine, Mad River, Hidden Valley, Snow Creek, Paoli Peaks.

    • Limited access to partner resorts, including: seven days at each of Telluride, Sun Valley, Snowbasin, and the Resorts of the Canadian Rockies; five consecutive days at Hakuba Valley, Japan’s ten ski resorts; five consecutive days at Japan’s Rusutsu Resort. The Epic Pass also grants limited access to Les 3 Vallées in France; 4 Vallées in Switzerland; and Skirama Dolomiti in Italy.
    • Discounted Tickets: Six “Ski With A Friend” discounted tickets.

  • Epic Local Pass™: The Epic Local Pass offers the following access and benefits:
    • Unlimited, unrestricted access to: Breckenridge, Keystone, Crested Butte, Okemo, Mount Sunapee, Stevens Pass, Afton Alps, Mt. Brighton, and Wilmot.

o   Additional unlimited, unrestricted access subject to certain conditions, including regulatory review at: Mount Snow, Attitash, Wildcat, Crotched, Hunter Mountain, Liberty, Roundtop, Whitetail, Jack Frost, Big Boulder, Alpine Valley, Boston Mills, Brandywine, Mad River, Hidden Valley, Snow Creek, Paoli Peaks.

    • Unlimited access with holiday restrictions to: Park City, Heavenly, Northstar, Kirkwood, and Stowe.
    • 10 total days combined (with holiday restrictions) at: Vail, Beaver Creek, and Whistler Blackcomb
    • Limited access to partner resorts, including: two days (with limited holiday restrictions) at Sun Valley; two days (with limited holiday restrictions) at Snowbasin; and five total consecutive days with no blackout dates at Hakuba Valley’s ten ski resorts in Japan; and five total consecutive days with no blackout dates at Rusutsu Resort.
    • Discounted Tickets: Six “Ski With A Friend” discounted tickets.

    • Unlimited, unrestricted access to: Whistler Blackcomb, Vail, Beaver Creek, Breckenridge, Keystone, Crested Butte, Park City, Heavenly, Northstar, Kirkwood, Stowe, Okemo, Mount Sunapee, Stevens Pass, Afton Alps, Mt. Brighton, and Wilmot in North America. The Military Epic Pass also includes access to Perisher, Falls Creek, and Hotham in Australia.

o   Additional unlimited, unrestricted access subject to certain conditions, including regulatory review at: Mount Snow, Attitash, Wildcat, Crotched, Hunter Mountain, Liberty, Roundtop, Whitetail, Jack Frost, Big Boulder, Alpine Valley, Boston Mills, Brandywine, Mad River, Hidden Valley, Snow Creek, Paoli Peaks.

·        Epic Day Pass: Announced earlier this year, the Epic Day Pass provides unprecedented flexibility and season pass discounts to guests skiing as little as one day. With the customizable pass, guests can unlock discounts of up to 50 percent off lift ticket window prices by selecting the number of days they plan to ski or ride – from one day to seven days – and whether or not to add holiday access. The Epic Day Pass provides the following access and benefits:

    • Specified number of days to: Whistler Blackcomb, Vail, Beaver Creek, Breckenridge, Keystone, Crested Butte, Park City, Heavenly, Northstar, Kirkwood, Stowe, Okemo, Mount Sunapee, and Stevens Pass.

o   Additional access subject to certain conditions, including regulatory review at: Mount Snow, Attitash, Wildcat, Crotched, Hunter Mountain, Liberty, Roundtop, Whitetail, Jack Frost, Big Boulder, Alpine Valley, Boston Mills, Brandywine, Mad River, Hidden Valley, Snow Creek, Paoli Peaks.

    • Partner access: For guests purchasing four or more days of access, they may also use days purchased to access Telluride, Sun Valley, Snowbasin and Resorts of the Canadian Rockies.  
    • Bonus Days: the Epic Day Pass includes free bonus days to match total days purchased that can be used at Wilmot, Mt. Brighton or Afton Alps.

·       Epic Australia Pass:  Existing 2019 Epic Australia pass holders will receive the following access for the 2019/20 season:

    • Unlimited, unrestricted access to: Perisher, Hotham, and Falls Creek during the 2019 season and access to Breckenridge, Keystone, Crested Butte, Okemo, Mount Sunapee, Stevens Pass, Afton Alps, Mt. Brighton, and Wilmot for the 2019/20 season.

o   Additional unlimited, unrestricted access subject to certain conditions, including regulatory review at: Mount Snow, Attitash, Wildcat, Crotched, Hunter Mountain, Liberty, Roundtop, Whitetail, Jack Frost, Big Boulder, Alpine Valley, Boston Mills, Brandywine, Mad River, Hidden Valley, Snow Creek, Paoli Peaks for the 2019/20 season

    • Unlimited access with restrictions to: Park City, Stowe, Heavenly, Northstar and Kirkwood
    • 10 total days combined (with holiday restrictions) at: Vail, Beaver Creek, and Whistler Blackcomb
    • Limited access to partner resorts, including: Five total consecutive days with no blackout dates at Hakuba Valley Japan’s ten ski resorts; and five total consecutive days with no blackout dates at Rusutsu Resort.

Additionally, the Whistler Blackcomb 5 and 10 Day Edge Cards will continue to offer limited access to any of Vail Resorts’ owned iconic ski resorts, including the 17 Peak Resorts ski areas.

  • Whistler Blackcomb 5 & 10 Day Edge Cards:  Available to residents of Canada and Washington state, the 5 and 10 Day Whistler Blackcomb EDGE Cards include the option to use up to two of the 5 days included on the 5 Day Edge Card and up to three of the 10 Days included on the 10 Day Edge Card at any of Vail Resorts’ other owned iconic ski resorts.  Access at the 17 new Peak Resorts ski areas subject to certain conditions including regulatory review.

 

When will the acquisition of Peak Resorts be complete?

The transaction remains subject to Peak Resorts shareholder approval and regulatory review. We expect to close on the acquisition in the Fall of 2019.

2019/20 Epic Pass and other Vail Resorts Season Pass Details:

Following closure of the transaction, which Vail Resorts season passes will give me access to Peak Resorts ski areas for the 2019/20 season?

The Epic Pass, Epic Local Pass, Military Epic Pass, Epic Day Pass, and Epic Australia Pass will provide access to all Peak Resorts ski areas pending close of the transaction. 

Where can I purchase an Epic Pass, Epic Local Pass, Military Epic Pass, Epic Day Pass or Epic Australia Pass?

What dates do “holiday restrictions” include?

  • Epic Local Pass and Epic Day Pass holiday restricted dates are: 11/29/19-11/30/19, 12/26/19-12/31/19, 01/18/20, 02/15/20-02/16/20.
  • Epic Australia Pass holiday restricted dates are: 11/29/19-11/30/19, 12/19/19-12/31/19, 1/18/20, 2/15/20-2/16/20, 3/7/20, 3/14/20, 3/21/20 

Are Peak Resorts access and benefits on Vail Resorts Season Passes contingent on the close of the transaction?

  • Yes, access to Peak Resorts ski areas as well as benefits on Epic Pass, Epic Local Pass, Military Epic Pass, Epic Day Pass, Epic Australia Pass, and EDGE Cards are contingent on the close of the transaction. 

If I already purchased my Epic Pass, Epic Local Pass, Military Epic Pass, Epic Day Pass, or Epic Australia Pass do I need to do anything to add Peak Resorts ski area access?
No, if you have already purchased an Epic Pass, Epic Local Pass, Military Epic Pass, Epic Day Pass, or Epic Australia Pass you will receive access to all Peak Resorts ski areas for the 2019/20 season.   This access is pending close of the acquisition, which is expected to close in the Fall of 2019. There is no additional cost and the pass will automatically be valid at these 17 resorts.

Will night skiing and riding at Peak Resorts ski areas cost extra?

No, pending completion of the acquisition, night skiing will be included at all eligible resorts for free on the Epic Pass, Epic Local Pass, Military Epic Pass, Epic Day Pass and Epic Australia Pass.

If I already purchased a Vail Resorts season pass which does not include Peak Resorts access, can I upgrade in order to receive it?
Yes, you can upgrade your pass at the current advertised price by calling 970-754-0008. Your pass benefits will remain the same.  Please note that the season pass offices at Peak Resorts cannot currently sell Epic products.

I have purchased both a Peak Resorts season pass product AND an Epic pass product.  Can I get a refund?

Refunds of your Peak Resorts season pass products will be accepted following closure of the acquisition.  More information on process for receiving refunds on Peak Resorts season pass products to be announced after closure of the acquisition.

I own an Epic Pass.  Can I return it in order to purchase a single Peak Resorts season pass product?

Epic Passes are non-transferrable and non-refundable.  Pass refunds are available only when a guest purchased Pass insurance and has a valid claim under the insurance policy.

I own an Epic Pass.  Can I use my benefit tickets at Peak Resorts ski areas?

Exact details on benefit ticket eligibility and redemption process will be released after the close of the acquisition.

If I plan to ski at Peak Resorts on an Epic season pass can I go straight to the lift?

Can I purchase tickets for these “holiday restriction” days at a discount as an Epic Local, Epic Day, or Epic Australia Pass holder?

Yes. Epic Local Pass receive 50% off lift tickets during the holiday restricted dates at Park City, Stowe, Heavenly, Northstar, Kirkwood and Advanced Lift Ticket Rates at Vail, Beaver Creek, and Whistler Blackcomb.  Restricted Epic Day Pass Holders also receive a discount on blackout dates, equal to the Advanced Lift Ticket rate for that day. Epic Australia Pass Holders receive 50% off lift tickets during all holiday restricted dates at all owned resorts.

Will the Epic Pass have benefits at Peak Resorts ski areas?

Yes, pending close of the acquisition, Epic Pass, Epic Local Pass, Military Epic Pass, Epic Day Pass, and Epic Australia pass holders will have pass holder discounts at all 17 resorts.  Details will be released after close of the acquisition.

What access is included on the Epic Australia Pass for the Northern Hemisphere resorts?

The 2019 Epic Australia Pass (no longer available for sale) includes access to Northern Hemisphere resorts for the 2019/20 Season.  The 2020 Epic Australia Pass will include access to Northern Hemisphere resorts for the 2020/21.

What access is included on the Epic Pass for Australian resorts?

The 2018/19 Epic Pass (no longer available for sale) includes access to Perisher, Falls Creek, and Hotham for the 2019 Season. The 2019/20 Epic Pass includes access to Perisher, Falls Creek, and Hotham for the 2020 Season.

How does summer access work on the Epic Pass?

Spring pass purchasers receive summer sightseeing lift access. If the pass is purchased after the lifts close for the summer, the benefit is no longer available.  Summer access to Peak Resorts ski areas is pending close of the acquisition.

Do Epic Pass holders get summer lift access at Peak Resorts?
Yes, contingent on the close of the acquisition summer access will be included for Peak Resorts.

Will EpicMix be available at Peak Resorts ski areas in the 2019-2020 season?

No. EpicMix is only available at these resorts: Stowe in Vermont; Vail, Beaver Creek, Breckenridge and Keystone in Colorado; Whistler Blackcomb in British Columbia, Canada; Park City in Utah; Heavenly, Northstar and Kirkwood in Tahoe; Afton Alps in Minnesota and Mt. What are Ski With A Friend tickets and how many do I receive?
As a valued season pass holder, most season passes will come with six discounted, single- day lift tickets loaded onto your season pass for friends and family to use. Ski With A Friend tickets vary in price based on the date you plan to visit and can be purchased at the lift ticket window. The season pass holder must be present at the time of purchase. How does Pass insurance work?
All season passes are non-transferrable and non-refundable. Season pass refunds are available only when a guest purchased season pass insurance and has a valid claim under the insurance policy. Any refund is based on the cost of the season pass minus a daily rate for every day used up to the face value of the season pass. How does the Auto Renew program work?

Auto Renew is the most convenient way to automatically renew your Season Pass every year, while guaranteeing next season’s lowest price and the best benefits. When you sign-up for Auto Renew you will be charged $49 up front in mid-March and the balance in mid-September. If you sign up for the auto-renew program this season, your Pass will automatically renew next March for the 2019-2020 season unless you withdraw from the program before the initial charge. 2019/20 Peak Resorts Pass Details:

If I already purchased a Peak Resorts season pass, will they still be eligible for skiing and riding in the 2019-20 season?

Yes. For the 2019-20 season, Vail Resorts will honor all Peak Resorts pass products.  Peak Resorts’ pass holders will have the option to exchange to an Epic Pass or Epic Local Pass, following closing of the transaction.

Is the 2019-20 Peak Resorts season pass product offering going to remain available for purchase?

Yes. For the 2019-20 season, Vail Resorts will honor and continue to sell all Peak Resorts pass products.

If I keep my Peak Resorts pass, do I need a new pass card?

Exact pass card requirements and process will be released after the close of the acquisition.

Epic Passes require the purchase of Pass Insurance for any type of pass refund. Is this now the case for Peak Resorts season pass products?

Will the age categories for the Peak Resorts and Epic Pass products remain the same?

Yes, skier age categories for Peak Resorts products will remain the same for the 2019-20 season as currently posted on peakpass.com.  All existing Epic season pass products will retain the same age breakouts as currently posted on epicpass.com.

Are Peak Resorts passes eligible for Auto Renew?

No. Peak Resorts passes are not eligible for Auto Renew. Auto Renew is the most convenient way to automatically renew your Season Pass every year, while guaranteeing next season’s lowest price. If I exchange my Peak Resorts pass for an Epic Pass, can I keep my benefits?

If you exchange passes, your benefits will change as well.  Should you upgrade to an Epic Pass, you will receive 6 Ski-With-A-Friend (SWAF) tickets and become a member of the Epic Pass Club. SWAF tickets are automatically loaded onto applicable passes and the price varies throughout the season. Pass holders just take their guest to a ticket window, present their pass and receive the discount. Changing or Upgrading Products:

If I bought a Peak Resorts pass product, am I entitled to a refund?

After closing of the transaction, Vail Resorts will be allowing pass holders who purchased a Peak Resorts pass product to exchange their pass for an Epic Pass, should they want to.  Depending on the price difference between the two products, you will either be charged the balance or refunded the difference. Please note, exchanges for products purchased prior to the 7/22/2019 acquisition announcement will be eligible to receive pricing and benefits on their new pass in line with those available on the acquisition announcement date for a limited time. For those who purchased a Peak Pass Product after 7/22/2019, guests will be eligible to upgrade or exchange to an Epic Season Pass product at the current price and benefit offering available for that product.

If I purchased Peak Resorts season pass product already can I exchange for a pass that has access to other resorts? 

Yes, after closing of the transaction, you will be able to exchange for the Epic Pass. Please note, exchanges for products purchased prior to the 7/22/2019 acquisition announcement will be eligible to receive pricing and benefits on their new pass in line with those available on the acquisition announcement date for a limited time. For those who purchased a Peak Pass Product after 7/22/2019, guests will be eligible to upgrade or exchange to an Epic Season Pass product at the current price and benefit offering available for that product.

You will receive current benefits and will be charged or refunded the difference in price based on the day of the exchange.
